1. Introduction & Definitions
WhatsLoop is a registered trademark owned by Cloud Payment Communications & Information Technology Co., Commercial Registration No. 7037551590, Kingdom of Saudi Arabia (referred to as "the Company", "we", or "WhatsLoop"). These Terms and Conditions ("Agreement") govern your use of the WhatsLoop platform and all associated services.
"Platform": The WhatsLoop cloud application (SaaS) for WhatsApp messaging automation, including the dashboard, API, bots, campaigns, and all available features.
"Client" or "User": Any individual or legal entity that registers an account on the platform and agrees to these terms.
"WhatsApp": The messaging application owned by Meta Platforms, Inc. WhatsLoop is not affiliated with or endorsed by WhatsApp or Meta in any way.
"Session": An active connection between the client's WhatsApp number and the WhatsLoop platform through one of the available connection methods.
"Plan": The subscription plan chosen by the client that determines available features and usage limits.
2. Acceptance of Terms
By creating an account or using the platform, you agree to be fully bound by these terms and conditions. If you do not agree to any part of them, you must stop using the platform immediately.
If you are using the platform on behalf of a company or legal entity, you represent that you are legally authorized to bind that entity to these terms.
WhatsLoop reserves the right to modify these terms at any time. Your continued use of the platform after posting modifications constitutes implicit acceptance of the updated terms.
These terms apply in conjunction with the Privacy Policy and Service Level Agreement (SLA) published on the website.
3. Service Description
WhatsLoop is a cloud-based platform (SaaS) that enables businesses to automate communication through WhatsApp. Services include:
Conversation management and unified multi-channel inbox.
Creation and management of auto-reply bots and automation workflows.
Sending marketing campaigns and bulk messages.
Customer Relationship Management (CRM), tickets, and task systems.
API for integration with external systems.
AI tools, quick replies, catalog, and payment features.
WhatsLoop does not guarantee availability of all features across all plans. Available features vary by selected plan as detailed on the pricing page.
4. WhatsApp Connection Types
WhatsLoop provides two methods for connecting to WhatsApp, each with different characteristics and risks that the client must fully understand:
QR Connection (QR Code Scan): Relies on the unofficial WhatsApp Web protocol. This method is not officially endorsed by WhatsApp and may expose the account to restrictions or bans by WhatsApp at any time without prior notice. By choosing this method, the client acknowledges full awareness of the risks and assumes complete responsibility for any consequences.
Cloud API Connection (Official API): Relies on the official WhatsApp Business Cloud API from Meta. Requires a verified Meta Business account and a dedicated phone number. This method is subject to Meta's official policies and limits, including messaging limits and account quality ratings.
WhatsLoop does not control WhatsApp or Meta policies and does not guarantee the continuity of either connection method. Any change in WhatsApp or Meta policies may affect the service without constituting a breach by WhatsLoop.
The client alone is responsible for choosing the appropriate connection method and understanding the associated risks.
5. Registration & Accounts
The client agrees to provide accurate and truthful information during registration and to keep it updated.
The client is responsible for maintaining the confidentiality of login credentials (email and password) and for all activities conducted through their account.
Sharing login credentials with unauthorized parties is prohibited. In case of discovering any unauthorized use, the client must notify WhatsLoop immediately.
WhatsLoop reserves the right to suspend or cancel any account suspected of providing misleading or false information.
Creating multiple accounts for the same person or entity to circumvent plan limits or policies is prohibited.
6. Plans & Billing
WhatsLoop offers several subscription plans (Free, Starter, Business, Growth, Professional, Enterprise, Custom), each with specific features and limits.
All prices displayed on the website include Value Added Tax (VAT) at 15%.
Subscriptions are automatically renewed at the end of each billing cycle (monthly or annual) unless cancelled before the renewal date.
When upgrading to a higher plan, the price difference is prorated for the remainder of the current billing cycle.
No refunds are issued for used or remaining periods upon cancellation or downgrade, except at WhatsLoop's sole discretion.
WhatsLoop reserves the right to modify prices at any time, with 30 days' notice to existing customers before the change takes effect.
In case of payment delay or failure, WhatsLoop reserves the right to suspend the service until payment is completed.
7. Free Plan
WhatsLoop offers a free plan with limited features subject to the following conditions:
All messages sent through the free plan automatically and mandatorily include a "Powered by WhatsLoop" signature or equivalent.
Attempting to remove, hide, modify, or circumvent the signature by any means, whether technical or manual, is strictly prohibited. Any such attempt constitutes a material breach warranting immediate account termination.
The client bears full responsibility for the content of messages sent through the free plan, including messages bearing the WhatsLoop signature.
If spam or violating messages are sent through the free plan, WhatsLoop disclaims all responsibility for the content of those messages despite its signature appearing on them, and the client alone bears full legal liability.
WhatsLoop reserves the right to modify, suspend, or restrict free plan features at any time without prior notice.
WhatsLoop is not obligated to provide technical support to free plan users.
8. Acceptable Use
The client agrees to use the platform only for legitimate purposes consistent with applicable laws in the Kingdom of Saudi Arabia and WhatsApp policies.
Sending legitimate business messages to customers with an existing relationship or who have given prior consent to communication.
Using bots and automation to improve customer service and business operations.
Adhering to the limits set for each plan in terms of messages, sessions, and users.
Maintaining message quality and avoiding content that may be classified as spam or unwanted.
9. Prohibited Use
The client is prohibited from using the platform for any of the following activities. Any violation is considered sufficient grounds for immediate account termination:
Sending unsolicited bulk messages (spam) or messages to individuals who have not consented to receive them.
Sending misleading or fraudulent content, false promises, or impersonation.
Sending content that violates Saudi or international laws, including pornographic, violent, extremist, or hate-inciting content.
Using the platform for phishing, distributing malware, or any harmful activity.
Attempting unauthorized access to WhatsLoop systems or other users' data.
Using the platform in a way that damages the infrastructure or negatively affects service performance for other users.
Reselling or sublicensing the service to third parties without prior written permission from WhatsLoop.
Using the platform to send messages that infringe on third-party intellectual property rights.
Exceeding plan limits through technical means or multiple accounts.
10. WhatsApp Policy Compliance
The client agrees to fully comply with applicable WhatsApp and Meta policies, including but not limited to:
WhatsApp Business Policy.
WhatsApp Commerce Policy.
Business Messaging Guidelines.
WhatsLoop is not responsible for monitoring the client's compliance with WhatsApp policies. It is the client's sole responsibility to review and follow WhatsApp policy updates.
Any violation of WhatsApp policies is considered a violation of these terms and conditions.
11. WhatsApp Bans & Disclaimer
This is one of the most important provisions of this agreement and the client must read and fully understand it:
WhatsLoop provides technical tools for communicating through WhatsApp only. WhatsLoop is not WhatsApp, does not represent WhatsApp, and does not control WhatsApp's decisions.
The client's WhatsApp number may be banned, restricted, or suspended by WhatsApp or Meta at any time and for any reason, including but not limited to: sending bulk messages, reports from recipients, violating WhatsApp policies, or WhatsApp's own technical reasons.
WhatsLoop bears no responsibility whatsoever for the banning or restriction of the client's WhatsApp accounts regardless of the cause.
The client is not entitled to any compensation or subscription fee refund due to their WhatsApp account being banned.
Using the QR connection (unofficial) significantly increases the likelihood of being banned compared to the official Cloud API connection.
The client acknowledges full awareness that WhatsLoop cannot prevent WhatsApp bans, lift them, or influence WhatsApp's decisions in any way.
In case the client's number is banned, WhatsLoop is not obligated to provide any support for recovering the banned number, except to the extent technically possible and at its discretion.
12. Bots & Automation
The client bears full responsibility for the setup, configuration, and content of bots and automation workflows created on the platform.
WhatsLoop provides technical tools only and does not control the content, timing, or targeting of automated messages.
The client must ensure that bots do not send spam, repetitive, or messages that violate WhatsApp policies.
Any damages resulting from improper bot or automation setup (including account bans or data loss) are the client's sole responsibility.
13. API Usage
WhatsLoop provides an API for integration with the client's external systems. Usage is subject to the subscribed plan limits.
The client bears full responsibility for the security of their API keys and all requests sent through them.
The client must not exceed the fair use rate limits defined for each plan.
WhatsLoop is not responsible for any errors or failures in the client's external systems connected via the API.
WhatsLoop reserves the right to modify the API structure or version with appropriate prior notice.
14. Data Ownership
The client retains ownership of all their data and content stored on the platform.
By creating an account, the client grants WhatsLoop a limited license to process and store their data to the extent necessary to provide the service.
The client has the right to request export or deletion of their data in accordance with the Privacy Policy.
Upon account termination, WhatsLoop retains data for 30 days before permanent deletion, unless immediate deletion is requested.
15. Intellectual Property Rights
All intellectual property rights related to the WhatsLoop platform, including software, design, trademarks, logos, and content, are exclusively owned by Cloud Payment Communications & Information Technology Co.
This agreement does not grant the client any ownership rights to the platform. The license granted is a limited, non-exclusive, revocable use license.
Copying, modifying, redistributing, or reverse-engineering any part of the platform is prohibited.
Using the WhatsLoop trademark or logos in any marketing materials without prior written permission is prohibited.
16. Suspension
WhatsLoop reserves the right to immediately suspend the account without prior notice in the following cases:
Violation of any provision of this agreement or WhatsApp policies.
Sending spam or receiving multiple reports from recipients.
Activity suspected of being fraudulent, harmful, or threatening to platform security.
Failure to pay due fees on time.
An official request from a competent governmental or judicial authority.
In case of suspension, the account may be reactivated after resolving the cause of suspension, at WhatsLoop's sole discretion.
17. Termination
The client may cancel their subscription at any time through the dashboard. Cancellation takes effect at the end of the current billing cycle.
WhatsLoop reserves the right to immediately terminate the account in case of serious violations without being obligated to refund any paid amounts.
Upon termination, the client loses access to the platform and all associated features.
WhatsLoop retains the client's data for 30 days after termination, after which it is permanently deleted. The client may request data export during this period.
Provisions relating to liability limitation, indemnification, and intellectual property rights survive termination of this agreement.
18. Limitation of Liability
To the maximum extent permitted by applicable law in the Kingdom of Saudi Arabia:
The platform is provided "AS IS" and "AS AVAILABLE" without any express or implied warranties, including warranties of fitness for a particular purpose or non-infringement.
WhatsLoop shall not be liable for any indirect, consequential, incidental, or punitive damages, including but not limited to: loss of profits, data, or business opportunities.
WhatsLoop shall bear no financial or compensatory liability to the client under any circumstances whatsoever. By using the platform, the client acknowledges and accepts the full disclaimer of WhatsLoop's liability for any direct or indirect damages.
WhatsLoop bears no responsibility for WhatsApp, Meta, or any third-party service interruptions.
WhatsLoop bears no responsibility for any losses resulting from WhatsApp banning the client's account regardless of the cause.
WhatsLoop bears no responsibility for content sent by the client through the platform.
19. Indemnification
The client agrees to indemnify, defend, and hold harmless WhatsLoop, its officers, and employees from any claims, lawsuits, losses, damages, or costs (including attorney fees) arising from:
The client's use or misuse of the platform.
The client's violation of these terms or WhatsApp policies.
The content of messages sent by the client through the platform.
The client's infringement of third-party rights.
Any claims from third parties (including message recipients) related to the client's activity on the platform.
20. General Provisions
Governing Law: This agreement is governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia.
Jurisdiction: The competent courts in the Kingdom of Saudi Arabia have exclusive jurisdiction over any disputes arising from this agreement.
Entire Agreement: These terms, together with the Privacy Policy and Service Level Agreement, constitute the entire agreement between the parties and supersede any prior agreements.
Severability: If any provision of these terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Waiver: WhatsLoop's failure to exercise any right under this agreement shall not constitute a waiver of that right.
Notices: WhatsLoop sends notices via the registered email address or via an announcement on the platform. Notices are considered received upon sending.
